Depends on what you're looking for. I was after sharper handling so I've raised the rear end 25mm with different dog bones and added a Gen II rear shock. The Gen II rear shock raises the rear ride height slightly, so it depends on what you're after. I was lucky enough to get one with revalved internals and it's much smoother than the standard shock.
I think replacing a standard Gen I with a standard Gen II probably wouldn't make much difference, other than the Gen II shock probably being newer.
It also depends on your $$$$. Rebuilding the current shock with gold valves or the like will produce a noticable difference, based on my experience with the Gen II rebuilt shock.
